Terms of Use

1. Introduction and Acceptance of Terms

Welcome to Pulse ("Platform," "Service," "we," "us," or "our"), operated by Pulse Technologies Inc., a Delaware corporation. These Terms of Service ("Terms") govern your access to and use of the Pulse mobile application, website, and related services.

By creating an account, accessing, or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

IMPORTANT NOTICE FOR USERS UNDER 18: If you are under 18 years of age, you must have your parent or legal guardian review and accept these Terms on your behalf before using the Platform. Parents/guardians who create accounts for or on behalf of minors are responsible for supervising their use of the Platform.

2. Definitions

For the purposes of these Terms:

• "Athlete" means a user who creates a profile to showcase athletic abilities, track valuation metrics, and receive NIL (Name, Image, Likeness) opportunities.
• "Brand" means a business or commercial organization that posts opportunities and partners with Athletes for sponsorships and marketing.
• "Camp" means an organization that hosts athletic training events, clinics, and scouting showcases.
• "Coach/Recruiter" means a user who discovers, scouts, and connects with Athletes for athletic recruitment purposes.
• "Agent" means a licensed representative or talent manager who manages Athletes' commercial affairs and negotiates NIL deals.
• "Parent/Guardian" means a legal guardian who oversees a minor Athlete's account, reviews opportunities, and provides legal consent.
• "NIL" means Name, Image, and Likeness commercial rights as defined by applicable state and federal laws.
• "Opportunity" means any NIL deal, endorsement, sponsorship, or brand collaboration offer created on the Platform.

3. Eligibility & Minor Protection

You must be at least 13 years old to use the Platform. Users between 13 and 17 years old must have verifiable parental or guardian consent.

Under-18 Athletes must have a linked Parent/Guardian account before entering into any binding agreements or receiving direct communications from restricted roles.

Athletes are solely responsible for ensuring their participation complies with their applicable athletic association rules (including NCAA, NAIA, NJCAA, and state high school athletic association guidelines). Pulse Technologies Inc. does not guarantee that any Opportunity complies with amateurism eligibility rules.

4. Account Registration and Security

You must provide accurate, current, and complete information during registration. You may only maintain one account per individual or legal entity.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

We support six distinct account roles: Athlete, Parent/Guardian, Coach/Recruiter, Brand, Camp, and Agent. You must select the role that accurately reflects your identity and business function.

5. Platform Services by Role

Athlete Services: Profile creation, stats verification, highlight media uploads, AI Journey Reels, NIL offer receipt, and P Score marketability tracking.

Brand Services: Talent search, campaign brief generation, offer drafting, deal execution, and secure escrow funding.

Agent Services: Athlete representation, portfolio management, AI deal scouting, pitch creation, and commission tracking.

Parent/Guardian Services: Minor monitoring, digital consent management, and offer/contract co-signing approval queues.

Coach & Camp Services: Talent discovery, recruiting pipelines, camp creation, attendee scouting, and roster management.

6. NIL Deals, Contracts, and Escrow Payments

Opportunities posted on the Platform constitute invitations to negotiate. Legally binding agreements are formed only when all required parties (including Parents/Guardians for minor Athletes) execute a contract via integrated digital signature.

All commercial payments are processed securely through Stripe Connect. Pulse Technologies Inc. operates an escrow mechanism where brand funds are deposited prior to campaign launch and released upon confirmed completion of agreed deliverables.

Platform and service fees (including the platform fee and agent commissions) are disclosed prior to deal confirmation. Athletes and creators are solely responsible for reporting and paying all applicable local, state, and federal taxes.

7. User Content and Media Standards

You retain full ownership of all photos, highlight videos, stats, and text content you upload. By uploading content to Pulse, you grant Pulse Technologies Inc. a non-exclusive, worldwide, royalty-free license to host, display, and distribute your content for the operation of the Platform.

You agree not to upload content that is unlawful, defamatory, infringes intellectual property, contains malware, or depicts minors in inappropriate contexts. Pulse reserves the right to review, moderate, or remove non-compliant content.

8. Prohibited Activities

Users agree not to: scrape or harvest data; impersonate any individual or entity; bypass security measures; manipulate P Scores or rankings; engage in fraudulent financial transactions; harass other users; or solicit minors outside of parent-supervised channels.

9. Intellectual Property

The Platform design, algorithms, P Score™ metric, AERA AI™ tools, and logos are the proprietary intellectual property of Pulse Technologies Inc. All rights not expressly granted are reserved.

10. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT ATHLETES WILL RECEIVE OFFERS, THAT BRANDS WILL FIND SUITABLE ATHLETES, OR THAT DEALS COMPLY WITH SPECIFIC COLLEGIATE ATHLETIC ELIGIBILITY RULES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PULSE TECHNOLOGIES INC.'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO US IN THE PRECEDING 12 MONTHS, OR (B) $100.

11. Account Termination and Deletion

You may terminate and delete your account at any time through the mobile app under Settings > Account Security > Delete Account, or by contacting support@wepulse.io. Detailed instructions and disclosures are available on our Help & Support page.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraud, or compromise minor safety.

12. Dispute Resolution & Governing Law

These Terms are governed by the laws of the State of Delaware. Any disputes that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) on an individual basis.
